Terms of Service | Investment Account Manager (IAM)

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Investment Account Manager ("IAM," "we," "us," or "our") governing your access to and use of our website, services, applications, and tools (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

IAM provides portfolio management software and tools designed to help financial advisors, asset managers, and individual investors track, analyze, and manage investment portfolios. Our Services may include, but are not limited to:

Portfolio tracking and monitoring
Investment analysis tools
Tax optimization features
Reporting capabilities
Data integration with financial institutions

3. Eligibility

To use our Services, you must be at least 18 years old and capable of forming a binding contract with IAM. By using our Services, you represent and warrant that you meet these requirements.

4. Account Registration

Some of our Services require you to create an account. When you register for an account, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Keep your password confidential and secure
Be responsible for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

5. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by IAM, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services.

6. User Contributions

Our Services may contain interactive features that allow users to post, submit, publish, display, or transmit content or materials. By providing any user contribution to our Services, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material.

7. Prohibited Uses

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:

In any way that violates any applicable federal, state, local, or international law or regulation
To exploit or harm minors in any way
To transmit any material that is defamatory, obscene, offensive, or otherwise objectionable
To impersonate any person or entity
To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
To attempt to gain unauthorized access to or interfere with any part of the Services

8. Payment Terms

Certain aspects of our Services may require payment of fees. You agree to provide accurate and complete payment information and authorize us to charge your designated payment method for all fees incurred.

All fees are exclusive of taxes, which may be added to the fees at the time of payment. You are responsible for paying all fees and taxes associated with your use of our Services.

9. Disclaimer of Warranties

YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

IAM IS NOT A REGISTERED INVESTMENT ADVISER, BROKER-DEALER, OR TAX ADVISOR. THE INFORMATION PROVIDED THROUGH OUR SERVICES IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE CONSIDERED FINANCIAL, INVESTMENT, OR TAX ADVICE.

10. Limitation of Liability

IN NO EVENT WILL IAM, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES.

11. Indemnification

You agree to defend, indemnify, and hold harmless IAM, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Services.

12. Termination

We may terminate or suspend your access to all or part of our Services immediately, without prior notice or liability, for any reason, including, but not limited to, a breach of these Terms.

13. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter.

Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without giving effect to any principles of conflicts of law.
